Livingstone pieces together Travel Jigsaw deal

June 2008

Livingstone Partners, the mid-market investment banking boutique, has advised the management team in their buy-out of Travel Jigsaw, raising funding from ISIS Private Equity. The management team was advised by James Lever and Daniel Domberger of Livingstone Partners’ Consumer team.

Travel Jigsaw is an international car hire broker, arranging car rentals for customers from over 20 countries, travelling to over 75 destinations worldwide.

The Company operates on-line through local-language websites, backed by a multi-lingual call centre based in Manchester. Established in 2004, it has grown rapidly to become the second-largest car rental broker in Europe.

The deal was originated by Livingstone Partners and enables the management team significantly to enhance their ownership in the company. The Travel Jigsaw team, headed by CEO Greg Wills, is focused on ongoing organic growth in key international markets.

Daniel Domberger, of Livingstone’s Consumer team says: “Travel Jigsaw proved highly attractive to a number of potential investors. The management team is exceptionally strong, and the growth record of the company highly impressive.

“In a relatively short period of four years the Management team have built a European online market leader.” adds James Lever, of Livingstone’s Consumer team. “This represented a highly attractive investment opportunity and we were able to generate strong private equity interest in the Company and a great deal for the Management team."

Shani Zindel, who led the investment for ISIS Private Equity, commented “The deal was introduced to us by Livingstone Partners. This is one of the strongest management teams we have seen in the online travel sector."

Greg Wills, CEO of Travel Jigsaw said, “James and Daniel at Livingstone gave us direct and positive advice from the outset and then delivered pro-actively on all areas of the deal."

TravelJigsaw, the online car hire brokerage, has been bought by US-based travel services company Priceline.com in a deal demonstrating a revival in the art of private equity groups successfully completing exit strategies. The Manchester-based company, which operates in 31 markets, was sold by Isis Equity Partners and the management for an undisclosed price, but it is understood that the total transactional value of the debt-and-equity deal was about £170m ($245m). Mr Wills said management and Isis had invested heavily to build the business and were “ready for the next phase of the company’s evolution within Priceline”. TravelJigsaw deal completed Published: Jun 18, 2008 [2]

TRAVELJIGSAW, the international car hire broker, has completed its £25m sale to private equity house ISIS. The M.E.N. broke the news of the deal last week.

The fast-growing company, owned by travel sector heavyweight David Crossland, founder of Airtours, trades as Carhire3000.com and last year saw profits jump to £2.2m from £465,000 in 2006.

Yorkshire Bank has provided a funding package of £8m to support the buyout.

Managing director Greg Wills, product and commercial director Nichola Moran, sales and marketing director Laurence Marlor and IT director Andrew Crossland met while working at MyTravel, formerly Airtours.
