Công ty mẹ-Tổng Công ty Lương thực Miền Nam là công ty Nhà nước, hoạt động theo Luật Doanh nghiệp Nhà nước, được thành lập theo Quyết định số 333/2005/QĐ-TTg ngày 14 tháng 12 năm 2005 của Thủ tướng Chính phủ. Công ty mẹ-Tổng Công ty Lương thực Miền Nam có tư cách pháp nhân độc lập, có con dấu, biểu tượng, điều lệ tổ chức hoạt động, quy chế tài chính, có trách nhiệm kế thừa các quyền và nghĩa vụ pháp lý của Tổng Công ty Lương thực Miền Nam trước đây. Nhiệm vụ chính của Tổng Công ty là kinh doanh lương thực theo quy hoạch và kế hoạch của Nhà nước và theo nhu cầu của thị trường nhằm đáp ứng kịp thời nhu cầu tiêu dùng lương thực trong nước và tiêu thụ hết lương thực hàng hóa của nông dân, chủ động hoạt động kinh doanh, bao gồm xây dựng kế hoạch phát triển, đầu tư, tạo nguồn vốn đầu tư, tổ chức thu mua, bảo quản, chế biến lương thực ở trong nước và xuất nhập khẩu lương thực, cung ứng vật tư, thiết bị chuyên dùng, hợp tác liên doanh, liên kết với các tổ chức kinh tế trong nước và ngoài nước phù hợp với pháp luật, chính sách của Nhà nước.

A Brief Introduction of VIETNAM SOUTHERN FOOD CORPORATION

Vietnam Southern Food Corporation has been established since the early days of the unification of Vietnam. In the following years, however, the Corporation's name has been changed many times so as to fit the socio-economic situation of the country. In 1995, implementing the policy of “Doi Moi” (renovation) and integration, Vietnam formed large state-owned corporations and powerful economic groups so that they would be capable of competitiveness in the region and the world. The Prime Minister signed the Decision No. 311/QĐ-TTg dated May 24, 1995 which established Vietnam Southern Food Corporation on the basis of a merger of Vietnam Central Food Corporation Zone II (Tổng Công ty Lương thực Trung ương II), Central Food Company Zone III (Công ty Lương thực Trung ương III) and the state-owned food trading units of the provinces south of Quang Nam-Da Nang province (now Da Nang City). During this period, Vietnam Southern Food Corporation has 35 member companies.

Implementing the Resolution of the 3rd Plenum of the Party Central Committee (9th tenure) on further re-structuring, renewing, developing, and raising the efficiency of State-owned enterprises; and with the Prime Minister's approval, Vietnam Southern Food Corporation prepared the experimental scheme for the State-owned Corporation operating following the model of “Holding company – subsidiaries,” which was later approved by the Prime Minister's Decision No. 136/2003/QĐ-TTg. After the process of re-structuring and conversion of the member companies' activities following the road map of the Decision No.136/2003/QĐ-TTg, the Corporation prepared the scheme to organize the “Holding Company -- Vietnam Southern Food Corporation” and carried on the necessary legal procedures. On March 01, 2007, Vietnam Southern Food Corporation officially started operating in accordance with the Decision No. 333/2005/QĐ-TTg dated December 14, 2005 and Decision No. 125/2006/QĐ-TTg dated May 30, 2006 of the Prime Minister.
